I. Confirmation and Acceptance of Agreement Terms

  1. Scope of Application: These Terms and Conditions apply to your use of SmileShop (hereinafter referred to as "this Website") and its related platforms such as mobile client software and mini-programs (collectively referred to as "this Platform"). The operating entity of this Platform is [Name of Operating Company] and its affiliated companies. Under this Agreement, the operating entity of the Platform may change due to business adjustments. Such changes will not affect your rights and interests under this Agreement, and the changed operating entity will continue to provide services to you and perform this Agreement with you.
  2. Effectiveness of Agreement: Before using the services of this Platform, please confirm that you have carefully read and fully understood all the terms of this Agreement, especially the clauses that limit or exclude liability (including clauses on applicable law and jurisdiction). Such clauses may be highlighted by bold and/or underlining to draw your attention. If you click the "Agree" button, it indicates that you have fully read, understood and accepted all the contents of this Agreement (minors should read this Agreement accompanied by their legal guardians), and this Agreement shall constitute a legally binding document on both parties and take effect immediately. Alternatively, your actual use of the services of this Platform shall be deemed that you have read and agreed to accept this Agreement and are bound by it. If you do not agree to the terms of this Agreement, you have the full and complete right to cease using the services of this Platform.
  3. Scope of Agreement: Considering the uncertainty of Internet services, in order to more comprehensively define the rights and obligations between you and this Platform, this Agreement includes other agreements, norms, rules, announcements and statements formulated by this Platform and its affiliated companies now or in the future, including but not limited to platform announcements, privacy policies (the specific name is subject to the Platform's publication), and "Account Usage Agreement". If there is any inconsistency or conflict in the contents, the terms of the agreement specifically applicable to a certain business scenario shall prevail. If you use the services of this Platform, it is deemed that you agree to all the above agreements.
  4. Modification and Update: This Platform has the right to modify this Agreement and/or related agreement terms when necessary in accordance with the needs of development and legal provisions. The updated agreement terms will replace the original ones and formally take effect after the expiration of the period specified by law. You can check the latest version of the agreement terms on the relevant service page. Of course, if there are any substantial or significant changes to the terms of this Agreement, to protect your rights and interests and listen to your opinions, we will notify you via the email you provided or push announcements, etc. After the terms of this Agreement and/or related agreements are changed, if you continue to use the services of this Platform, it is deemed that you have accepted the modified agreement. If you do not accept the modified agreement, you have the right to stop using the services.
  5. Effect of Headings: The headings of this Agreement are used for convenience only and do not have legal effect.

II. Requirements for Using the Platform's Services

  1. Age Restriction: You shall ensure that you are at least 18 years old when downloading this Platform and/or using its services, or if you are under 18 years old, you are at least 16 years old and can rely on your own labor income as the main source of living. If you do not meet the above conditions, you shall read this Agreement with your guardian to ensure a clear understanding of its contents, and you must not use the Platform's services before obtaining your guardian's consent. Meanwhile, this Platform recommends that guardians supervise and guide their children's use of the Internet, mobile phones, other devices and applications. If you have downloaded this Platform and/or used its services, this Platform will presume in accordance with legal provisions that you have the corresponding civil capacity as stipulated by the laws of the People's Republic of China or have obtained the consent of your guardian, and you or your guardian shall bear all legal consequences resulting from your actions, unless there is sufficient evidence to the contrary.
  2. Trade Restrictions: You must ensure that you are not subject to trade restrictions, sanctions or other legal or regulatory restrictions imposed by any country, international organization or region, otherwise you may not be able to register and use the Platform's services normally.
  3. Account Representation: The operations under your account only represent yourself. If you need to purchase goods or enjoy services on this Platform on behalf of a specific enterprise or unit, you must submit relevant certificates and authorization materials of the enterprise or unit in accordance with the requirements of this Platform. If you do not meet the aforementioned conditions, this Platform will not be able to provide services to you. You shall bear corresponding compensation liabilities for any losses caused to this Platform or third parties as a result.
  4. Device and Compatibility: Using the services of this Platform may require Internet-related devices, Internet access or certain software, and you shall pay relevant fees for this. You can obtain the Platform's client application or access the Platform's related websites through pre-installation, authorized third-party downloads, etc., to use the Platform and related services. If you access the Platform through other means, this Platform cannot guarantee that the client application or website can function normally, and any losses you suffer as a result are unrelated to this Platform. You must equip yourself with the necessary devices for Internet access and bear all fees for such services, including but not limited to Internet access fees and mobile data fees.
  5. Usage Restrictions: You agree to use the services of this Platform only for the purposes permitted by the Platform's service license. If your use of the Platform's services or other actions intentionally or unintentionally threaten the Platform's ability to provide services or other systems, or if the Platform determines through technical means that your account/actions are abnormal, the Platform has the right to take all reasonable measures to protect the Platform's services, which may include suspending or terminating your access to or use of the Platform's services. If you repeatedly violate the restrictions, it may result in the termination of the services provided to you by this Platform.

III. Goods and Services

  1. Product Information: The information about goods or services on this Platform is subject to change at any time. The text descriptions and image effects on the Platform's pages may be modified and adjusted in real time, and the Platform may not give special notice of such changes and adjustments. The product information displayed on the Platform, such as specifications, functional descriptions, component information, inventory and purchase limits, will be as accurate and detailed as possible and match the actual product information.
  2. Product Prices: This Platform clearly marks prices for goods, but you should understand and agree that the price information of goods on this Platform is subject to change at any time. Therefore, the transaction price of goods shall be subject to the price at the time of settlement when you submit the order. This Platform will make every effort to ensure the accuracy of product prices, but cannot avoid the situation where the price of goods in your submitted order information is incorrectly marked. If the correct price of the goods you ordered is higher than the price displayed on the Platform's website, or if the order price is incorrect due to system errors, the Platform has the right to consult your opinion and, depending on the specific situation, cancel your order, terminate the contract and notify you.
  3. Conclusion of Contract: The information such as goods and prices displayed on this Platform is merely an invitation to offer, and your order will constitute an offer to purchase goods. When placing an order, please carefully confirm the name, price, quantity, model, specification, size, contact address, phone number, consignee and other information of the goods you purchased, and submit the order after confirmation. After you submit an order on this Platform and complete the payment in accordance with the agreement, it is deemed that a contractual relationship has been established between you and this Platform with respect to the goods for which you have paid (special goods or services may have different conditions for the establishment of the contract, which shall be subject to the description on the relevant product or service page). Before the sales contract between you and this Platform is established, both you and this Platform have the right to cancel the order for the relevant products.
  4. Payment Methods: This Platform supports multiple payment methods, and the specific payment methods shall be subject to those displayed on the order page when you place the order. You shall perform the payment operation in accordance with the requirements of the selected payment method to ensure the accuracy and completeness of the payment information. If payment fails due to incorrect payment information, payment system failure or other reasons not attributable to this Platform, you shall bear the corresponding consequences. If you fail to complete the payment in a reasonable manner within the specified time, it is deemed that the contract has not been established, and this Platform has the right to cancel the order.
  5. Out-of-Stock Handling: Before the contract is established, the estimated delivery or arrival information displayed on this Platform is only reference information provided by the Platform at that time. After the contract is established, the Platform will deliver your goods according to the actual supply and logistics conditions. This Platform will make every effort to meet your purchasing needs, but cannot guarantee that the goods in your submitted order information will not be out of stock. If the goods you ordered are out of stock, you have the right to cancel the order and terminate the contract, and this Platform also has the right to cancel the order and terminate the contract on its own. If you have already paid, we will process the refund for you. After the order is cancelled, the amount you have paid will be returned to your payment account as soon as possible. You understand and acknowledge that the refund time may vary depending on the payment platform and method.
  6. Prohibition of Malicious Ordering: For the purpose of maintaining the normal transaction order of the Platform, if any of the following circumstances occurs, the Platform has the right to take measures including but not limited to unilaterally canceling the order, terminating the transaction contract, and deleting the account. If you have already paid, we will process the refund for you. Meanwhile, the Platform reserves the right to pursue legal liability against the defaulting user:
    • If you use software, technical means, order splitting or other methods to place bulk orders within the same time period using one or multiple accounts in order to purchase more than the limited quantity of goods or to obtain benefits such as discounts, rebates, gifts, freight or other benefits.
    • Your order behavior is reasonably judged by the Platform to be abnormal, which may affect the normal transaction order of the Platform or damage the rights and interests of other users.

IV. Order Delivery and Handover

  1. Delivery Services: The delivery of goods is performed by third-party logistics service providers cooperating with this Platform. You can choose an appropriate delivery method when placing an order, and the specific delivery methods and fees shall be subject to those displayed on the order page. This Platform will make every effort to coordinate with the logistics service providers to deliver the goods in accordance with the delivery method and estimated time you selected. However, due to various factors affecting the logistics process, the actual delivery time may be delayed, and this Platform shall not be liable for such delays. If you have any questions about the delivery progress, you can check it through the logistics inquiry function provided by this Platform or contact the logistics service provider.
  2. Confirmation of Delivery: When the goods are delivered, you or the consignee you designate shall inspect and accept them in a timely manner. If you find that the goods are damaged, missing or inconsistent with the order, you have the right to refuse acceptance and contact the Platform's customer service in a timely manner. If you or the consignee you designate signs for the goods without checking their condition, it is deemed that the goods have been delivered in accordance with the order requirements and are in good condition. For any subsequent claims regarding damage to the appearance of the goods, missing quantity, etc., this Platform will assist you in negotiating with the logistics service provider or the merchant according to the specific situation, but shall not bear direct liability.
  3. Delivery of Special Goods: For some special goods, such as fragile items, perishable items, large items, etc., there may be special delivery requirements and precautions, which will be clearly stated by this Platform on the product details page or during the order placement process. When purchasing such goods, you should carefully read the relevant instructions and operate in accordance with the requirements. This Platform shall not be liable for damage, deterioration or other problems of the goods caused by your failure to comply with the delivery requirements for special goods.

V. Return and Exchange Policy

  1. Conditions for Return and Exchange: You have the right to apply for return or exchange under the following conditions:
    • Within [X] days from the date you receive the goods (the specific number of days shall be subject to the Platform's regulations or the description on the product details page), the goods and their packaging remain intact and do not affect secondary sales (the standards for intact goods include but are not limited to no damage to the goods themselves, complete accessories, unopened packaging or only slightly opened packaging that does not affect the resale of the goods, etc.).
    • The goods have quality problems, which are confirmed by this Platform or the merchant. Quality problems include but are not limited to material or workmanship defects of the goods themselves, functional failures and other problems not caused by improper use by you.
  2. Return and Exchange Process: If you need to apply for a return or exchange, please operate through the return and exchange application process of this Platform, submit the return and exchange application and explain the reason. This Platform will review the application within [specific working days] after receiving it. After the review is approved, you will receive relevant guidelines for return and exchange, including but not limited to the return address and exchange process. You shall send the goods back to the designated address or complete the exchange operation in accordance with the guidelines. If the return or exchange fails or is delayed due to incorrect information provided by you or failure to operate in accordance with the requirements, you shall bear the responsibility.
  3. Freight Responsibility: If the return or exchange is caused by quality problems of the goods, the round-trip freight shall be borne by this Platform or the merchant; if the return or exchange is applied for due to personal reasons without quality problems of the goods, you shall bear the freight for returning the goods. If you enjoyed free shipping when purchasing the goods, and return the goods due to personal reasons, this Platform may deduct the corresponding freight. The specific method of freight responsibility will be clearly stated to you when you apply for return or exchange.
  4. Refund Processing: After receiving the returned goods and confirming that they are in order, this Platform will process the refund for you in accordance with the original payment method. The refund arrival time may vary depending on the payment platform. Generally, the refund will be returned to your payment account within [estimated working days]. Please wait patiently. If you do not receive the refund after the estimated time, please contact the Platform's customer service in a timely manner for inquiry.

VI. User Account and Security

Account Usage Specifications: You shall abide by laws and regulations and the relevant provisions of this Platform, and shall not use the account to engage in illegal or irregular activities or infringe upon the legitimate rights and interests of others. It is prohibited to publish false information, fraudulent information, infringing information, pornographic information, violent and terrorist information and other illegal and irregular content on this Platform. You shall not interfere with the normal operation of this Platform in any way, including but not limited to malicious brushing, malicious evaluation, attacking the platform server, etc. If you violate the account usage specifications, this Platform has the right to take measures such as warning, restricting account functions, freezing the account, canceling the account, and has the right to pursue your legal liability.
  4. Account Association and Authorization: To provide you with more convenient services, this Platform may conduct association or authorization cooperation with third-party platforms or services. When you associate or authorize your account, you should carefully read the relevant prompts and agreement contents to ensure that you understand and agree to the relevant authorization matters. After you authorize a third-party platform or service to obtain your information on this Platform, the use of such information will be subject to the privacy policy and terms of use of that third-party platform or service, and this Platform shall not be liable for it. Meanwhile, you should carefully manage your authorizations to avoid personal information leakage or other risks due to improper authorization.
  5. Account Cancellation: You have the right to apply for cancellation of your account at any time. Before applying for account cancellation, please ensure that you have properly handled all rights and affairs in the account, such as completing unsettled orders, using or handling received coupons or points, etc. After account cancellation, your account information will be processed in accordance with the Platform's privacy policy, and you will no longer be able to use the account to log in to this Platform and enjoy related services. If you use the Platform's services again after canceling your account, you may need to re-register an account and comply with the relevant provisions of this Agreement.

VII. Intellectual Property and Content Use

  1. Platform Intellectual Property: All contents of this Platform, including but not limited to text, pictures, audio, video, software, programs, trademarks, logos, interface designs, etc., are protected by laws and regulations, and their intellectual property rights belong to the operating entity of this Platform or relevant right holders. Without the written permission of this Platform, you shall not copy, disseminate, modify, display, sell, license others to use or infringe upon the intellectual property rights of this Platform in any way.
  2. User Content Authorization: When you publish content such as product information, reviews, sharing, questions and answers on this Platform, you grant this Platform a global, irrevocable, non-exclusive, sub-licensable and free license to use, copy, modify, adapt, publish, translate, create derivative works, disseminate, perform and display such content for the purposes of the Platform's operation, promotion, service improvement, etc. You warrant that the content you publish does not infringe upon the intellectual property rights or other legitimate rights and interests of any third party. If the Platform or a third party suffers losses due to the content you publish, you shall bear full compensation liability.
  3. Intellectual Property Complaints: If you believe that the content on this Platform infringes your intellectual property rights, you may submit a written complaint notice to this Platform, which shall include the following contents: (1) your name (title), contact information, address and valid identity certificate; (2) proof of ownership of the infringed intellectual property rights; (3) the specific location of the infringed content on this Platform and a description of the infringement; (4) your complaint request and relevant legal basis. After receiving a complaint notice that meets the requirements, this Platform will handle it in accordance with relevant laws and regulations and platform regulations. Meanwhile, if the complained party believes that its content does not constitute infringement, it has the right to submit a counter-notice to this Platform, and this Platform will make judgments and handle it based on the materials provided by both parties and relevant regulations.

IX. Changes, Interruptions and Termination of Services
